And Please, Don't Tell Me I "Look Better Naked."

My spouse and I just extended our membership to David Barton Gym in the Bravern complex in Bellevue. Since a bicycle jersey and spandex shorts are as close as you'll come to seeing me sans clothes, it wasn't their eye-catching tagline "Look Better Naked" that hooked us.

With great equipment, clean facilities, a friendly staff, great classes and trainers, and reasonable dues, it’s the best of several clubs we've belonged to. I thought our experience was worth sharing, since there seems to be a common perception that the Bravern, and any business in the complex, is "toast" thanks to their ill-fated opening in the worst economy most can remember. A good number of the people I hear pronouncing it toast have never even been there.

I can't speak to how the complex is doing financially, but I think anyone who has clients, runs a business or works for one can learn from what is happening at the Bravern where many businesses, including the David Barton Gym, really are "trying harder.” It’s a lesson we can all benefit from.

I'm rooting for the complex to make it because the employees who I have met at the David Barton Gym are genuinely nice, hard working people who don’t need to be added to our unemployment lines.

Second, for many members, the attraction of the gym is just good old customer service, a friendly attitude and attention to detail. When an organization gets consistently quality service from a young staff, it's worth noting. And the satisfied customers include a decent-sized group of Baby Boomers.

Finally, this is no time for business as usual; they seem to know that and are constantly trying new approaches to attract and retain their members. Consider this: I recently received an invitation from a Barton member who is Marketing Manager for Gene Juarez Salons and Spa in the Bellevue Galleria, a few blocks from the Bravern. I was invited to their first-ever "Happy Hour for Men's Event" at the salon. For a reasonable price you were offered a haircut, (okay, so that one's pretty easy for me), facial, nail treatment, chair massage, micro-brews, and discounts and freebies from their partners. Partners included a golf supply company, two companies providing men's products, a brewery and the David Barton Gym.

I know it was a big success, even though I didn't go. Why? Because by the time I got around to signing up, it was completely sold out. The joint promotion fits perfectly into the new world of social media. First, it was marketed almost completely by e-mail and Word of Mouth (WOM). Second, it was one of many such partnerships David Barton uses to build a community for its members by bringing them speakers, entertainment and programs that fit their interests.

So give yourself a gift. Take advantage of the six hours of free parking and wander through the Bravern complex. Check out the merchants, see what kinds of deals you can find and note what they are doing to engage you. You might find some approaches you can use with your own customers.

Erika Taylor ...

Seattle, WA – For the first time in more than 25 years, Washington Federal Savings is updating its company image and launching a new brand identity. New signs are already being installed at many of the company’s Western Washington locations. Work will continue locally through early May. The company-wide initiative centers around shortening the corporate name to “Washington Federal” and re-branding the branches recently acquired from both Horizon Bank and First Mutual Bank. All will operate under the “Washington Federal” name going forward.

“We felt it was time to update our image to better reflect our financial strength and wider array of banking services,” said Roy Whitehead, Chairman, President and CEO. “During the past three years, we’ve added more than 40 branches to our organization, and needed to integrate those offices as well as establish Washington Federal as a premier regional bank in the Western U.S.”

Over the past 18 months, Washington Federal has undergone a comprehensive brand review designed to freshen its image, communicate its positioning and encompass recent acquisitions. The New Mexico Division was the first to install new exterior signs and lobby merchandising, with work completed this past month. Washington Federal’s brand is designed to reflect a simple, friendly and mature image consistent with one of the nation’s strongest banks. The company will employ a new tagline, “invested here” to convey its commitment to the neighborhoods it serves as a portfolio lender who makes and keeps 30-year fixed rate mortgages. Washington Federal also maintains one of the highest capital levels among the nation’s 100 largest financial institutions and earned $40.7 million in net income during fiscal year 2009.

Washington Federal (Nasdaq: WFSL) has 160 offices in Arizona, Washington, Idaho, Oregon, Utah, Nevada, Texas and New Mexico and specializes in residential real estate lending. Established in 1917, the company reported $12.7 billion in assets and $7.9 billion in deposits as of December 31, 2009.

Erika Taylor ...

On Thursday, Fortune Bank announced it will try to raise $450 million in new capital in hopes of acquiring Northwest banks that have been weakened by the recession and real-estate. Martin Glynn, formerly from HSBC, will become the CEO and help lead this effort along with the Bank's leadership team. Fortune plans to use the new capital in government-assisted deals for shuttered banks, along with acquisitions to help grow.

The Bank plans to raise money through its shareholders by increasing the numbers of shares from 10 to 250 million. The FDIC must first approve the offering before the Bank can solicit investors. Current CEO, David Straus, says that the new capital could be enough to increase Fortune's asset base from it's existing assets of $118.5 million to more than $4 billion.

SEATTLE, WA—Fortune Bank announced today that it is seeking the approval of its shareholders for an amendment and restatement of its Articles of Incorporation as part of a proposed capital raise. In order to enable the Bank to proceed with the capital raise, the proposed amendment would, among other things, increase the authorized number of shares of common stock from 10 million to 250 million. The proposed amendment also includes certain other provisions that are typical for a publicly traded company.

The Bank anticipates seeking to raise additional capital of at least $450,000,000. The Bank’s capital raising efforts are subject to market conditions and a number of other conditions, including the approval of certain regulatory filings by the Federal Deposit Insurance Corporation and the Washington Department of Financial Institutions. In addition to raising funds to finance the Bank’s organic growth and to make potential FDIC-assisted and unassisted acquisitions and for general corporate purposes, the other purpose of the capital raise is to unite the Fortune Bank management team and a team of experienced senior bankers headed by Martin Glynn of Vancouver, British Columbia, who would become the Chief Executive Officer following completion of the capital raise, with David Straus, Fortune Bank’s current President and Chief Executive Officer serving as the Chief Operating Officer. A nationally recognized investment bank is expected to lead the Bank’s capital raising efforts. The proposed capital raise will be made solely by means of an offering circular.

City Bank Received a 30-Day Corrective Action Directive from FDIC

March 15, 2010 Lynnwood, WA--City Bank (NASDAQ: CTBK)

City Bank announced today that it has received a Corrective Action Directive from the Federal Deposit Insurance Corporation (FDIC) giving it until April 10 to raise additional capital through the sale of shares or obligations so that it will be "adequately capitalized." If that is not possible, the FDIC directed City Bank to accept an offer to be acquired by another depository institution.

The order also repeated restrictions already in place on accepting or renewing brokered deposits, increasing its average total assets, making dividend payments or opening new branches. City Bank has been under a Consent Agreement with the FDIC since June 2009 under which it agreed to a number of limitations. It has taken a number of actions to reduce its non-performing loans, pay down the level of brokered deposits and raise capital. The Bank is continuing to aggressively reduce non-performing assets and as of February 28, 2010, the Bank has additional signed purchase and sales agreements representing 180 houses totaling approximately $48 million in construction loans. The Bank has repaid $52 million of brokered deposits and public deposits in January and February, and will repay another $50 million in March. As of February 26, 2010, the Bank has $247 million of cash and cash equivalents and a $63 million federal income tax refund receivable, which totals $310 million of 90-day liquidity.

President and CEO Martin Heimbigner, who assumed his position in January when founder and CEO Conrad Hanson retired, said City Bank continues to look for ways to bolster its capital levels, aggressively sell non-performing assets and pay down debt. "We are continuing to talk and meet with investors across the country to discuss a number of financing options.”

Restatement of 2009 Results

City Bank also announced amendments to its previously released unaudited results for the fourth quarter of 2009 and the year ended December 31, 2009. The revised net loss for 2009 totaled $119.50 million, an increase in the loss of $14.89 million from the $104.61 million originally reported on January 29, 2010.

The reasons for the revised net loss were an increase in the provision for loan losses of $16.80 million and an increase in the OREO valuation adjustment charged to expense of $2.33 million. The provision for loan losses increased due to accounting rules that apply when material subsequent events take place before the publication of audited financial statements. These events include the FDIC’s recently completed examination and receipt of updated appraisals on loans and foreclosed real estate which reflected lower collateral values. Income tax benefits were also adjusted to reflect the effect of the revised pre-tax loss. See the Exhibit of Selected Financial Information below for further detail on these restatements.

Martin Heimbigner, President and CEO commented, “The distressed residential housing market continues to impact the bulk sale discounted value reflected in the land appraisals that are required to be used under regulatory accounting rules. Due to the distressed values we have recorded for our building lots as required by GAAP, we believe the intrinsic value of the Bank’s land is understated compared to the value of the land with a completed house sold at retail home prices.”

The Bank’s Capital Plan

The Bank has engaged an investment banking firm and is continuing its efforts to raise additional capital. Our efforts include a strategy to bulk sell assets to real estate investors with a contemporaneous, linked investment in City Bank common stock to recapitalize the Bank. Mr. Heimbigner commented, “We have written down the carrying value of our real estate assets to a level at which real estate investors may want to buy our assets directly. As such, we believe that we have an opportunity to raise capital based on the quality of the Bank’s real estate assets and the intrinsic value of the building lots when a completed house is constructed.”

Mr. Heimbigner commented, “We think the Pacific Northwest is going to remain a popular place to live and do business, so we believe the bulk sale of assets to investors with a linked investment in City Bank may have appeal in the longer run," he said. Heimbigner indicated that City Bank’s Tier 1 capital level was 1.8 percent as of December 31. To fully comply with FDIC Corrective Action Directive, the Tier 1 leverage capital level would need to increase by a minimum of $30 million, based on the planned reduction in the Bank’s asset size to $1 billion by March 31. Further repayments of brokered deposits are planned to reduce the asset size of the Bank to $900 million by June 30 and to $800 million by December 31.

“While these are challenging times, our employees have remained fully engaged and our customers have also been supportive,” Heimbigner said. “Depositors who have their money in FDIC insured accounts remain fully protected.”

The Seattle Times reported Frontier Financial's quarterly losses of $33.9 million in their January 29, 2010 issue. Shrinking capital ratios have also left the bank significantly undercapitalized. Despite the negative news, there were signs of cautious optimism. Delinquent loans fell for the first time in more than a year and nonperforming assets also fell. Frontier's shareholders also approved the issuance of up to 200 million shares last week, which could help with any recapitalization deal.

LYNNWOOD, Washington – City Bank (NASDAQ) - Conrad Hanson, 67, Chairman, President and CEO of City Bank in Lynnwood, said today that he is stepping away from day-to-day activities of the Bank and will retire as President and CEO at the end of 2009. He will continue to serve as Chairman of the Board of Directors until the Bank's annual shareholders’ meeting in May 2010.

The City Bank Board of Directors elected Lead Independent Director Martin L. Heimbigner, 51, (Marty) to serve as President and CEO. In addition, the Board elected James Carroll, 58, (Jim) the Bank’s current Executive Vice President and a member of the Board of Directors to serve as Chief Credit Officer.

Mr. Hanson has spent almost 46 years in banking, the last 35 years as the leader of City Bank, founded in 1974. “Marty has worked closely with me on a full time basis over the past year as we have dealt with the Bank’s challenges. Marty brings a unique skill set that has been essential in helping the Bank work through the recovery process." Hanson said.

Hanson continued, “The Bank has been very successful in meeting our 2009 goals to aggressively sell non-performing assets, increase liquidity and repay maturing brokered deposits. Marty provided oversight and guidance to the management team as we have executed on these challenges. I am pleased to have Marty and Jim in these new roles. As the Bank's largest shareholder, I am fully supportive of their ability to profitably lead the Bank in the future. As a part of that we are working on a capital raise and I have committed to invest an additional $3 million into that effort.”

Mr. Heimbigner commented “In 2009, the City Bank team has been a leader in selling residential real estate in the Puget Sound region. We will continue to sell homes in an aggressive and orderly manner to further reduce the Bank’s non-performing assets. In 2010 our goals will include rebuilding the Bank’s foundation, diversifying our lending from construction to small business commercial loans and residential mortgage lending, and investing in the Bank’s retail branch network.”

Mr. Hanson commented,” The Bank is continuing to sell $20 million to $30 million per month in residential housing. Through December 18, 2009 the Bank has sold 1,145 homes and lots representing over $334 million. We see this trend continuing in 2010 as we contract with a select group of home builders to build houses on the Bank’s approximately 2,800 building lots. Due to the distressed market prices for residential building lots, the Bank has marked-to-market our portfolio of lots. Our strategy is to build affordable houses on these lots. When the homes are sold, in the $250,000 to $350,000 price range, they will generate much higher rate of return for the Bank than selling the lots at current market prices.”

Mr. Heimbigner said we will continue to work with the Bank’s regulators on implementing City Bank’s recovery plan. “The Bank has been successful in building liquidity during 2009 and the Bank will have repaid over $450 million of brokered deposits, FHLB advances and public deposits. The Bank’s efforts to improve liquidity and repay maturing liabilities have successfully restructured the Bank’s balance sheet”, Mr. Heimbigner commented.
